This Unified Agreement (“Agreement”) governs your access to and use of the Atropos desktop application, free local creation features, and related premium publishing automation services (“Atropos”, “Service”).
By downloading, installing, or using Atropos, you agree to be bound by this Agreement.
If you do not agree, you may not use the Service.
If you access or use Atropos in any manner, that use constitutes your affirmative acceptance of this Agreement, whether or not you completed an in-app "Agree" action. You are solely responsible for any attempt to bypass, evade, or circumvent acceptance prompts or enforcement controls, and Atropos Video, LLC disclaims liability arising from such conduct to the fullest extent permitted by law.

2. Eligibility
You must be at least 13 years old to use Atropos.
If you are under 18 years old, you represent that you have permission from a parent or legal guardian.
By using Atropos, you represent that you have legal capacity to enter into this Agreement.

3. Nature of the Service
Atropos is a desktop software tool that:
- Accepts video input from local files or external platforms
- Generates shorter clips optimized for distribution
- Provides local review, editing, rendering, and export workflows
- Allows optional premium posting and scheduling to third-party social platforms
Atropos is distributed as downloadable desktop software for non-mobile devices.
Atropos does not provide a web application user interface.
Atropos is not a social media platform.
User content is not stored or publicly accessible by Atropos Video, LLC.
Atropos is local-first: in normal operation, your media files are processed on
your device and are not uploaded to Atropos-operated servers, except as
necessary to fulfill platform uploads you initiate that require a publicly
reachable URL (currently Instagram). In those cases, the rendered short is
transferred to Atropos-operated Cloudflare R2 storage solely to be served to
the destination platform, and is deleted upon upload completion or within 24
hours, whichever comes first. Source footage is never uploaded — only the
final rendered short you choose to publish. See the Privacy Policy for
details.
Server-side account records are limited to operational metadata such as the
original account email used for recovery, billing email received from Stripe,
subscription state metadata, premium entitlement metadata, legacy trial counters
where they still exist for compatibility, aggregate daily local usage counters
for Get Clips, Edit to Music, and Project Ask, device authorization metadata,
and legal acceptance metadata.

4. License Grant (Desktop App EULA)
Subject to this Agreement, Atropos Video, LLC grants you a:
- Limited
- Revocable
- Non-exclusive
- Non-transferable
- Non-sublicensable
license to install and use the Atropos desktop application on your device.
Free local creation features may be used without an active paid subscription
unless we remove, modify, discontinue, limit, or move those features behind a
paid plan or other premium entitlement as described in this Agreement. Free
local renders and exports may include an Atropos watermark. Premium publishing,
automation, and watermark-free rendering features require paid access, VIP
access, or another entitlement we expressly provide.
The software is licensed, not sold.

5. Restrictions
You may not:
- Reverse engineer, decompile, or attempt to extract source code
- Redistribute or share the software
- Resell access to the Service
- Circumvent subscription enforcement, premium access controls, or legacy trial limits
- Remove, obscure, bypass, or tamper with watermarks applied to free renders
- Use the Service for unlawful purposes
- Interfere with payment systems or attempt fraudulent chargebacks
Violation may result in immediate termination without refund.

6. Free Local Features and Premium Automation
Atropos currently provides a free local creation model. Free local features may
include importing or downloading source media, generating candidate clips,
captions, local review/editing, rendering, exporting, local library access, and
compatible local desktop integrations.
Free local renders and exports include a burned-in Atropos watermark applied at
render time, regardless of whether the selected layout includes watermark
elements.
Premium features require paid access, VIP access, or another entitlement we
expressly provide. Premium features include watermark-free rendering and export,
publishing profiles, connected platform accounts, direct publishing, scheduling,
saved publishing presets, upload queues, retry/recovery workflows, publishing
history, source-to-post automation, and adult-content or NSFW publishing options
where separately enabled. If enabled, those options may use third-party hosting
providers such as RedGIFs before posting links to destination platforms.
The descriptions of free local features and premium features are current
examples, not permanent commitments that any feature, workflow, integration,
entitlement, plan, price, quota, limit, destination, watermark rule, or access
boundary will remain available on the same terms. Atropos Video, LLC may
reclassify, package, meter, cap, limit, move to premium, move to free, rename,
replace, remove, or discontinue any feature or access category at any time,
including features previously described as free, included, bundled, beta,
promotional, experimental, premium, paid, or VIP-only.
Temporary free access, beta access, grandfathered access, promotional access,
or failure to enforce a premium gate does not create a continuing right to use
that feature for free or on the same terms later. Unless we expressly state
otherwise in a written offer, no current or former feature availability creates
a vested right, lifetime license, perpetual free tier, price lock, feature
lock, quota lock, or entitlement to future versions of Atropos.
Premium publishing automation depends on third-party provider systems and
permissions outside Atropos's control, including OAuth access, app review
status, API availability, quotas, rate limits, upload caps, account standing,
content policy review, moderation decisions, and technical or policy changes by
providers such as YouTube/Google, TikTok, Instagram, Facebook/Meta, LinkedIn,
and other destinations. Atropos does not guarantee that any provider will
accept, publish, keep available, monetize, recommend, or permit any upload, or
that automation can run at any particular volume, cadence, or schedule. We may
throttle, pause, disable, modify, or remove destinations or automation workflows
to comply with provider limits, safety requirements, or operational constraints.
Free access is not a free trial of premium publishing automation. Existing
trial users, users with exhausted trial counters, canceled users, and users with
no subscription are treated as free users for free local features unless their
access is terminated for violation of this Agreement.
Free local features, premium features, and feature boundaries may be removed,
modified, limited, metered, reclassified, moved to a paid plan, moved to free,
or discontinued at any time. No refunds apply because a free feature changes,
because a free feature becomes premium, because a premium feature changes, or
because we make more of the Service free in the future, except where required
by applicable law.
6.1 AI-Assisted Project Answers
Project Ask and similar AI-assisted features may generate answers, summaries,
recommendations, and suggested pipeline settings from available local project
artifacts such as transcripts, extracted frames, audio cues, candidate moments,
and project metadata. These outputs are generated automatically and may be
inaccurate, incomplete, outdated, misleading, or unsuitable for your use case.
You are responsible for reviewing AI-assisted outputs, checking the evidence
shown in the app, and deciding whether to use any answer or recommendation.
Atropos does not provide legal, medical, financial, tax, mental health, or other
professional advice, and AI-assisted outputs should not be relied on as a
substitute for professional judgment or review.

7. Subscription & Billing Terms
7.1 Subscription Plans
Atropos offers monthly and annual subscription plans processed through Stripe.
Subscription automatically renews until canceled.
7.2 Auto-Renewal
By subscribing, you authorize recurring charges to your payment method.
Charges continue until canceled.
Subscription status changes (including new subscriptions, cancellations, and plan
changes) may take 30-60 seconds to appear in the Service.
7.3 Cancellation
You may: 1. Cancel at end of billing period (retain access until period ends), or 2. Cancel immediately (access ends immediately; required for account deletion and requested data deletion)
If you cancel with end-of-period timing, your access continues until the end of
your current billing period.
If you cancel immediately, access ends immediately.
No prorated refunds will be provided unless required by applicable law.
7.4 No Refund Policy
Payments are generally non-refundable except where required by applicable law.
No refunds will be issued for:
- Partial billing periods
- Feature removal
- Service modifications
- Feature reclassification, including moving a free feature to premium or a paid feature to another paid plan
- Provider API, quota, rate-limit, app review, account-standing, or policy limits
- Legacy trial expiration
- Subscription termination
- Making the Service free in the future
This policy applies whether cancellation is immediate or end-of-period. No
prorated refunds are provided unless required by applicable law.

8. Pricing Changes
Atropos Video, LLC may:
- Increase pricing
- Decrease pricing
- Remove subscription tiers
- Add, remove, rename, bundle, unbundle, meter, cap, or reclassify features, plans, quotas, usage limits, and entitlement requirements
- Move features between free and paid access categories
- Discontinue paid access
- Make the Service free
Price increases take effect after the current billing period ends.
Price decreases, removal of fees, feature reclassification, or plan packaging
changes may take effect immediately and do not entitle existing subscribers to
refunds, credits, cash value, or continued access to any prior feature package,
except where required by applicable law.
When pricing changes are applied prospectively, the updated price is charged at
your next renewal after the current paid period ends.

9. Payment Issues & Chargebacks
If:
- A payment fails
- A chargeback is initiated
- Fraud is suspected
- Stripe flags your account
Atropos Video, LLC may immediately suspend or terminate access without refund.

10. User Content & Ownership
You retain full ownership of your content.
Atropos does not claim ownership of your videos or clips.
Watermarks applied to free renders identify the software used to create the
rendered output and do not transfer ownership of your content to Atropos.
You grant Atropos Video, LLC a limited license to use publicly posted content created using Atropos for marketing and promotional purposes.
This marketing license is non-exclusive and applies only to content you made
publicly available. You may opt out of future marketing use by contacting
contact@atropos-video.com.
Private content is not used.
10.1 Device-Bound Account Model
Atropos uses a device-bound account model and does not provide
email/password login.
Your account identifier is derived from a device hash (device_id_hash), and
subscription entitlements are tied to that device-bound account.
The original email you provide during setup is stored with the account record
for account recovery purposes.
Local credentials are stored in your operating system keychain or equivalent
secure local store. You are responsible for maintaining access to your device
and local credentials.
We do not guarantee restoration of access if local credentials are lost,
corrupted, deleted, or otherwise unavailable.
10.2 Recovery Phrase (Optional Feature)
Atropos may provide an optional recovery phrase that is displayed once at the
time of generation.
Atropos stores only a hash of the recovery phrase, never the plaintext phrase.
Recovery requires both: (a) your prior account identifier (device_id_hash),
and (b) the matching recovery phrase.
Successful recovery migrates entitlement to a new device-bound account and
invalidates prior device access associated with the old account.
If you lose your recovery phrase, account recovery may be impossible. Any
assistance we provide is best-effort only, and we are not responsible for
inability to restore access.

11. Third-Party Services
The Service may integrate with:
- Stripe
- Social media platforms and providers, including YouTube/Google, TikTok, Instagram, Facebook/Meta, LinkedIn, and other destinations we may support
- Open-source software components
You are responsible for complying with third-party terms and maintaining
authorized accounts in good standing on any provider you connect.
If you use Atropos features that connect to, use, or upload to YouTube,
including features that use YouTube API Services, you also agree to be bound by
the YouTube Terms of Service at
https://www.youtube.com/t/terms.
Atropos is not responsible for third-party provider outages, removals,
rejections, restrictions, upload failures, API changes, policy changes, app
review delays or denials, authorization changes, quotas, rate limits, upload
limits, account restrictions, bans, monetization decisions, recommendation
decisions, or other provider actions. Provider limits may reduce, delay, pause,
or prevent publishing automation even when your Atropos subscription is active.

12. Open Source & Apache 2.0 Components
Atropos uses open-source software and models licensed under various licenses, including Apache License 2.0.
Those components remain governed by their respective licenses.
A copy of required open-source notices is included with the application.
Open-source licenses applicable to bundled dependencies do not grant any right,
title, or interest in Atropos proprietary source code or other proprietary
materials.
You may view third-party notices in-app and through the Atropos website
materials that publish these notices.
Nothing in this Agreement grants you ownership of those third-party components.

13. Termination
We may terminate or suspend your account immediately if:
- You violate this Agreement
- You attempt fraud
- You initiate abusive chargebacks
- You attempt to bypass licensing
Termination may occur without notice and without refund.

14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
We make no warranties regarding:
- Accuracy
- Performance
- Reliability
- Third-party provider availability or upload capacity
- Uninterrupted publishing, scheduling, or automation
- Virality of generated clips
- Fitness for a particular purpose
We do not guarantee social media success.

15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Atropos Video, LLC’s total liability shall not exceed the greater of:
- Fifty dollars (USD $50), or
- The total amount you paid in the twelve (12) months preceding the claim.
We are not liable for:
- Lost profits
- Data loss
- Indirect or consequential damages
- Third-party platform bans
- Failed, delayed, rejected, limited, removed, or throttled uploads
- Provider quotas, rate limits, upload caps, outages, API changes, or policy changes
Some jurisdictions do not allow certain limitations of liability, so some of
these limitations may not apply to you.

16. Arbitration & Dispute Resolution
To the fullest extent permitted by law, all disputes shall be resolved through
binding arbitration in the State of Ohio.
This arbitration provision does not apply where prohibited by applicable
consumer protection law.
Either party may bring an individual claim in small claims court for matters
within that court's jurisdiction.
You waive:
- Jury trial
- Class actions
- Participation in class arbitration
Arbitration shall be conducted on an individual basis.
Each party bears its own legal fees unless the arbitrator rules otherwise.

17. Governing Law
This Agreement is governed by the laws of the State of Ohio, United States.
If you are a consumer residing outside the United States, mandatory consumer
protection laws in your country of residence may apply.

18. Changes to This Agreement
We may update these Terms from time to time. If we make material changes, we
will provide reasonable notice. Continued use of the Service after changes
become effective constitutes acceptance.
Changes to the Service, feature availability, premium boundaries, plans,
pricing, quotas, limits, provider integrations, watermark rules, or entitlement
requirements may be implemented by app update, server-side configuration,
account setting, provider requirement, or updated legal terms. If a change
requires your acceptance under the app flow, continued access may be blocked
until you accept the updated version.
If updated:
- A new version number will be issued
- Continued use requires re-acceptance where required by the app flow

19. Export Compliance
You may not use the Service in violation of U.S. export laws or applicable
sanctions regulations.

20. Severability
If any provision is found unenforceable, the remaining provisions remain in full force.
